Comprehensive Guide to MCA Annual Filings in India

Every Private and Public Limited Company incorporated in India must file annual returns with the Registrar of Companies (ROC) under the Companies Act, 2013. This is mandatory regardless of whether the company has done any business, generated any revenue, or is operating at a loss.


The Core Annual MCA Forms

1. Form AOC-4 (Financial Statements)

This form submits your company's audited Balance Sheet, Profit & Loss Account, Directors' Report, and Auditors' Report to the MCA. It must be filed within 30 days of holding the Annual General Meeting (AGM).

2. Form MGT-7 (Annual Return)

This form provides the ROC with the latest structure of the company, including lists of shareholders, directors, and any changes in shareholding over the year. It must be filed within 60 days of the AGM.

3. ADT-1 (Auditor Appointment)

After incorporating a new company, the first auditor must be appointed within 30 days. Form ADT-1 is filed to formally notify the ROC of this appointment for a 5-year term.


Mandatory KYC Filings
